Terms and Conditions

Sortaba (the sortaba.com website and the Sortaba web application) is provided by DIGENSA SRL, with its registered office at Str. Partenie Cosma 19, floor 1, apt. 7, Sibiu, Romania, registered with the Romanian Trade Register under no. J2025074184007, tax ID (CUI) 52596624 ("Provider", "we", "us"). You can contact us at support@sortaba.com.

By creating an account or using the service, you accept these Terms and Conditions ("Terms"). If you use Sortaba on behalf of a company, you confirm that you are authorised to represent it, and these Terms apply to that company ("Customer", "you").

The service is intended exclusively for professionals: agencies, independent specialists and other persons acting for business purposes. Sortaba is not offered to consumers.

Sortaba helps marketing agencies and independent specialists collect information from clients (discovery), structure it and turn it into service recommendations, pricing, phased plans and commercial proposals, using the services, prices and rules you configure.

Some features are in development or testing and may be changed, replaced or withdrawn.

Pre-release and beta. Until the public launch, Sortaba is available only to selected users through a private beta and an early-access programme. Pre-release versions may contain errors, change without notice or be temporarily unavailable, and are provided without any availability commitment. We recommend that you export important proposals regularly. If we ever need to reset data during the beta, we will tell you in advance and give you time to export it.

• Provide accurate and complete information and keep it up to date.
• Keep your login details confidential; you are responsible for all activity in your account.
• Notify us immediately at support@sortaba.com if you suspect unauthorised access.
• You may invite team members within the limits of your plan and are responsible for how they use the service.

The service is offered in several plans (for example Free, Pro and MEGA DOER) with different features and limits, such as the number of services you can include in proposals. Prices and plan contents are shown on the pricing page and in the application. VAT applies in accordance with the law.

Launch offers. Founding Member and Early Adopter offers are governed by the Early Access & Founding Members Programme Terms (sortaba.com/early-access-terms), which form part of these Terms. If the Programme Terms and these Terms differ on a programme benefit, the Programme Terms apply.

• Paid subscriptions are billed monthly or annually in advance, depending on the option you choose, and renew automatically at the end of each period until cancelled.
• Payments are processed by Stripe. We do not store your card details.
• Invoices are issued using the billing details entered in your account.
• If a payment cannot be collected, we may restrict access to paid features until it is settled.
• We may change prices with at least 30 days' notice. The new price applies from the next billing period.

You can cancel your subscription at any time from your account. Access to the paid plan remains active until the end of the period already paid.

If you decide not to continue after your first month of paid subscription, you can request a refund of the first payment by writing to support@sortaba.com within 30 days of that payment. Refunds are made to the original payment method.

Apart from this case, amounts paid for periods that have already started are not refunded.

You agree not to use Sortaba for:

• illegal activities or activities that infringe the rights of others;
• entering personal data without a legal basis or without informing the persons concerned;
• unauthorised access to our systems or to other users' data;
• copying, reselling or decompiling the service, or using it to build a competing product;
• sending spam or malicious content through forms generated in Sortaba;
• abusive automation, such as scraping or overloading the service.

• The data and content you enter (services, prices, client information, proposals) remain yours.
• You grant us a limited, non-exclusive right to store and process them only to provide, secure and improve the service.
• We may use aggregated, anonymised data that does not identify you or your clients for statistics and to improve the service.
• You can export your proposals and delete your account at any time.

• Summaries, recommendations and proposal texts are generated with artificial intelligence, based on the data you enter and the rules you configure.
• They are working drafts. You review and approve them before sending them to clients; you are responsible for the content you send to clients.
• Prices come from your configuration. Sortaba does not set prices and does not guarantee marketing or financial results.
• AI-generated results may contain errors or omissions.

You can connect an external AI assistant to your Sortaba account through MCP or our API, using an access key you create in the application.

• The connection is read-only: it can read your quotes, clients and discovery answers, but it cannot create, edit or delete anything, and it cannot access billing, team or account settings.
• You choose which assistant to connect. Data the assistant reads is processed by that assistant's provider under its own terms and privacy policy, which are outside our control.
• You are responsible for keeping access keys secure. You can revoke a key at any time; revoked keys stop working immediately.
• Before connecting an assistant, make sure you have a legal basis to share your clients' data with that provider.

For your clients' personal data entered into Sortaba, you are the controller and DIGENSA SRL is the processor within the meaning of Article 28 of Regulation (EU) 2016/679 (GDPR). In this capacity we:

• process the data only to provide the service and in accordance with your instructions, given through your use of the application;
• ensure that persons with access to the data are bound by confidentiality;
• apply appropriate technical and organisational security measures;
• use the sub-processors listed in the Privacy Policy and inform you in advance of changes, with the possibility to object;
• assist you in responding to data subject requests and notify you without undue delay of any personal data breach;
• delete the data at the end of the contract in accordance with the Privacy Policy, after you have had the opportunity to export it.

You are responsible for having a legal basis for the processing and for informing your clients. On request, we can sign a separate data processing agreement.

Sortaba, including its software, design, texts, operating logic and trademarks, belongs to DIGENSA SRL or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service for the duration of your subscription. Suggestions and feedback you send us may be used to improve the service without any obligation to you.

We make reasonable efforts to keep the service available at all times. Interruptions may occur for maintenance, updates or reasons beyond our control. We may change features; if we remove an essential feature of a paid plan, we will notify you and you may cancel with a pro-rata refund of the unused period.

To the extent permitted by law:

• the service is provided "as is", without any guarantee that it will be error-free or fit for a particular purpose;
• we are not liable for indirect losses, loss of profit, loss of clients or loss of data;
• our total liability is limited to the amounts you paid for the service in the 12 months before the event giving rise to liability.

These limitations do not apply in cases of intent or gross negligence.

We may suspend or close an account that breaches these Terms after prior notice, except in serious or urgent cases. You can close your account at any time from the settings or by writing to support@sortaba.com.

We may update these Terms. We will notify you of significant changes at least 30 days in advance, by email or in the application. Continuing to use the service after the changes take effect means you accept the new version.

These Terms are governed by Romanian law. Any disagreement will first be resolved amicably. If no agreement is reached, disputes will be settled by the competent courts in Sibiu, Romania.
